Beasley Broadcast Group, Inc. (Nasdaq: BBGI), a Naples, Florida-based multi-platform media company, announced Tuesday it has struck a securities purchase agreement with a single institutional investor as part of a $5.0 million capital raise structured as a registered direct offering paired with a concurrent private placement.
The deal involves the issuance of 357,000 Class shares along with accompanying securities through the private placement component. The dual-structure approach — combining a registered offering with a concurrent private placement — is a common mechanism that allows companies to quickly access capital while offering an institutional buyer additional security instruments such as warrants that cannot be immediately sold on public markets.
